This published document serves as an Agreement between KINGDOM ONE ENTERTAINMENT GROUP, LLC doing business as Open Music Wire (hereinafter referred to as “K1”) and the content owner (hereinafter referred to as “Rightsholder”) who uploads music into OpenMusicWire.com, and collectively (“Parties” or “Party”), for the Parties have mutually agreed to the terms as follows:
1. Rightsholder owns or controls one hundred percent (100%) of the sound recording(s) as a well as the copyright(s) in and to the sound recording, and Rightsholder owns or controls the composition(s) embodied on the Masters, as well as the copyright(s) in and to the compositions, collectively (“Works”), or has mechanical licenses and all other permissions required to use these Works as contemplated in this Agreement.
2. Rightsholder understands that K1 may request Music Videos, Pictures and/or Art Work (hereinafter referred to as “Content”) from Rightsholder, and Rightsholder gives K1 the right to publish Content in OpenMusicWire.com.
3. Rightsholder gives K1 the right to apply a Creative Commons Attribution Non-Commercial No Derivatives license (hereinafter referred to as “CC License”) to Content, allowing others (hereinafter referred to as “Users”) to download Content and share it with Users as long as Users mention the Rightsholder and link back to the Rightsholder, but Users can't change the Content in any way or use the Content commercially, and Rightsholder understands that K1 is not responsible for Users who do not mention or link back to the Rightsholder when programmed, published, redistributed or shared.
4. In exchange for the promotional value of streaming audio and video on OpenMusciWire.com, Rightsholder warrants and represents no compensation shall be due any person with regard to the uses of the Sound Recording and Composition on OpenMusciWire.com as contemplated by this Agreement, and neither Party makes any warranty or representation as to other rights or royalties in connection with the uses of such Works and Content as contemplated by this Agreement.
5. Rightsholder understands that Users who may be K1 Industry Relations (hereinafter “Recipients”) will have access to Content for publishing and/or programming consideration on and not limited to Internet, Radio, Television, Print Media and Public Venues, and Rightsholder agrees to provide Content to Recipients for such programming and publishing consideration.
6. Rightsholder understands that Users who visit OpenMusicWire.com will also have access to Content, and Rightsholder agrees to provide Content to Users as a Free Download Offer for as long as the Content is available on OpenMusicWire.com.
7. Rightsholder has the right to request for K1 to take down any of the Content owned or controlled by the Rightsholder that is published in OpenMusicWire.com, and Rightsholder understands that it will take up to twenty-five (25) business days for K1 to take down such requests off of OpenMusicWire.com from when the request was reported by phone or via email.
